ค่าใช้จ่ายในการจดทะเบียนบริษัทโดยประมาณ สำหรับบริษัท พร้อมภาษีมูลค่าเพิ่ม 7%

• ค่าบริการจดทะเบียนบริษัท = 20,000 บาท

• บัตรประจำตัวผู้เสียภาษี = ฟรี

• ค่าบริการจดทะเบียนภาษีมูลค่าเพิ่ม = 10,000 บาท

• ตราประทับของบริษัท = 500 บาท

• แถมค่าธรรมเนียมรัฐบาล = 6,500 บาท

• บวกภาษีมูลค่าเพิ่ม 7% = 2,100 บาท

• ค่าใช้จ่ายรวม = 39,100 บาท

Company Registration – Setting up company in Thailand

The estimated cost (provision cost) for company registration or formatting with capital not exceeding Baht 5 million:

Estimated Company Registration Cost with VAT 7%

• Service fee for company registration - THB 20,000

• Tax Identification Card – Free of charge

• Service fee for VAT registration = THB 10,000

• Company Seal = THB 500

• Plus Government fee = THB 6,500

• Plus VAT 7% = THB 2,100

ขอบเขตการให้บริการ:

• ยกเว้นการจัดทำใบหุ้น สมุดทะเบียนหุ้น และการจดทะเบียนกองทุนประกันสังคม

• เมื่อกรอกหลักฐานทั้งหมด (เอกสารการจัดตั้งบริษัท) เรียบร้อยแล้ว จะถูกแปลเป็นภาษาอังกฤษ แต่สำหรับแบบฟอร์มการลงทะเบียน คุณสามารถจับคู่กับแบบฟอร์มเทมเพลตภาษาอังกฤษของเราเท่านั้น

• กรณีต้องการบริษัทที่เป็นเจ้าของ 100% ค่าธรรมเนียมจะเสนอเป็นกรณีไป

บริการอื่น ๆ ที่เกี่ยวข้องดังต่อไปนี้:

• 18,000 บาทต่อปี สำหรับการใช้ที่อยู่ของเราในการจดทะเบียนบริษัทของคุณ

• 3,000 บาทต่อเดือน สำหรับผู้อำนวยการคนไทย/ การบริการของผู้อำนวยการคนไทย ระยะเวลาขั้นต่ำ 6 เดือน

• 3,000 บาท สำหรับจัดทำเอกสารในการเปิดบัญชีธนาคารของบริษัท แต่บัญชีธนาคารของบริษัทนี้สามารถใช้ผ่าน “Internet Banking” ได้โดยใช้ ToKen Device

• 5,000 บาท สำหรับการแก้ไขข้อบังคับจัดประเภทหุ้นเป็นหุ้นบุริมสิทธิและหุ้นสามัญ โดยต่างชาติสามารถถือหุ้นบุริมสิทธิเพื่อให้มีสิทธิออกเสียงส่วนใหญ่ได้

• สัญญาโอนหุ้น 1,500 บาท

• ให้คำปรึกษาการเป็นผู้ถือหุ้นรายใหญ่ (ฟรี)

• บริษัทที่จดทะเบียนเรียบร้อยแล้ว-สำหรับขายต่อ คือทางเลือกและมีประโยชน์ดังนี้คือ

1. ผู้ถือหุ้นไม่จำเป็นต้องเดินทางมาประเทศไทย และไม่ต้องลงนามในเอกสารใดๆ โดยไม่ต้องพิสูจน์เงินลงทุน

2. สามารถแล้วเสร็จได้ภายในเวลาเพียง 1 วันทำการ

3. ค่าใช้จ่ายทั้งหมดรวมการโอนไปยังฝั่งของคุณ

ระยะเวลาและขั้นตอน

• ขั้นตอนที่ 1 วันจันทร์ – การจองชื่อบริษัทและเตรียมแบบฟอร์มการลงทะเบียน จะดีกว่าถ้าทำได้ก่อนมาเมืองไทย

• ขั้นตอนที่ 2 วันอังคาร – คุณสามารถลงนามในแบบฟอร์มจดทะเบียนบริษัทและแบบฟอร์มคำขอภาษีมูลค่าเพิ่มได้

• ขั้นตอนที่ 3 วันพุธ – เราจะดำเนินการจดทะเบียนบริษัทของคุณที่ DBD (กรมพัฒนาธุรกิจ) และจดทะเบียนภาษีมูลค่าเพิ่มในวันเดียวกัน

• หมายเหตุ : กรณีการใช้ที่อยู่ของเราสามารถดำเนินการให้เสร็จสิ้นภายใน 1 วัน แต่กรณีการใช้ที่อยู่อื่นนั้นขึ้นอยู่กับเอกสารที่ใช้ประกอบที่อยู่

Remark

The scope is covering for:

• Excluding preparation for Share Certificate, Share Registered Book and Social Security Fund Registration

• When complete all evidences (incorporation document) will be translated to English version but for registration form you can match with our English template form only.

• Case  of need for 100% owned company the fee will propose case by case.

Other related services as below:

• THB 18,000 per year for usage our address for your company registration.

• THB 3,000 per month for Local Thai director/ Local director service, require minimum of 6 months period.

• THB 3,000 for preparation of document for opening company bank account but this corporate bank account can be used via “Internet Banking” by using ToKen Device.

• THB 5,000 for modification of Article of Association for classification of share to be preferred shares and common shares whereas Foreign can hold Preferred Shares in order to have majority voting right.

• THB 1,500 for share transfer agreement.

• Consultation for being majority shareholder (free of charge).

Timeline and Procedure

• Step 1 Monday – Company’s name reservation and prepared registration form. It’s better if can be done before you come to Thailand.

• Step 2 Tuesday –  You can sign the company’s registration form and VAT application forms.

• Step 3 Wednesday – We proceed to register your company at DBD (Department of Business Development) and VAT registration also in the same day.

Remark: Case of Address usage, we can complete the whole process within 1 day but case of usage of other address, it depends on address’s document support.
